Social Media Management
Stroberri is an Australian creative agency and digital solutions provider. We work for businesses to support in creating and running their social media campaigns on their behalf. The terms set out below outlines the inclusions and understanding about the arrangement.
SUMMARY
This Agreement is executed at Sydney, Australia, and between Stroberri Group Pty Ltd, which hereafter also to be referred as “AGENCY” and the company details filled in under this agreement, hereinafter referred to as "CLIENT".
It is agreed by and between the Client and the Agency as follows:
AGENCY SERVICES
The Agency shall provide to the Client, services, which shall include the following:
- Setting up social media platforms such as Facebook, Twitter, Instagram, YouTube, etc (The platforms as agreed prior). Creating content, engagement as well as ongoing management of posts on these platforms.
- Regular posting of content as agreed in previous email communications.
- Creating appropriate campaign posts by taking the feedback and suggestions from the Client.
THE PROCESS & TERMS
Following is the steps involved in the process:
- The Agency will request access to the relevant social media pages and the client needs to approve the access.
- The Agency will seek clients input on the topics for creating posts.
- Based on the number of posts or Paid Ads agreement, the post content and designs will be prepared and will be sent for clients approval.
- Once approved, the posts will be published by the agency, at a date & time suggested by the client or a suitable time identified by the Agency.
- Creating appropriate campaign posts by taking the feedback and suggestions from the Client.
TERMS:
- Stroberri Group Pty Ltd is not liable for any loses, damages or effects to the client's brand or reputation, as a result of publishing a post/design that is approved by the client.
- The Agency will do the changes to the designs as per client's suggestions. However, since the posts are on-going work for every week, complete multiple revisions will not be encouraged.
- Flyers or print-ready versions of post designs will not be supplied since the designs are prepared solely for social media purpose. Hpwever, the Client can share and use the design for other digital uses.
COMMENCEMENT AND DURATION
This agreement is deemed to commence from the specific date as agreed, and shall remain in force in a monthly renewal. The agreement may be set for a preset custom duration as well, as mutually agreed by both parties.
CONFIDENTIALITY
The Agency shall maintain absolute confidentiality with respect to any confidential information received from the Client. The Agency shall not disclose any such information without obtaining Client's specific prior consent, otherwise than in compliance with statutory requirements.
GOVERNING LAWS
The Client and the Agency shall comply with all statutory regulations. This agreement will be subject to NSW jurisdiction, Australia.
AGENCY FEES AND REMUNERATION
The Client agrees to pay the Agency a retainer fee per month. This amount will be payable at the beginning of the month, upon receipt of the payment link from the Agency. Charges for any other special services not mentioned in the original proposal - such as video creation, application development, media buy etc., if applicable, will be charged extra.
TAXES
10% GST will be charged by the Agency, for monthly payments, through the payment link.
PAYMENT TERMS
The Client agrees to pay Retainer Fees as an ongoing subscription, at the beginning of the month for that particular month. Any other additional Invoices raised on the Client will become payable within 7 days from the date of all such Invoices.
INDEMNITY
The Agency shall indemnify and keep the Client indemnified against all losses, expenses or damages that may be suffered by the Client due to any default or breach of terms by the Agency under this Agreement. The Client shall indemnify and keep the Agency indemnified against all losses, expenses or damages that may be suffered by the Agency due to any default or breach of terms by the Client under this Agreement.
FORCE MAJEURE
Neither the Client, nor the Agency, shall be liable for any default, delay or lapse occurring due to events beyond their control including riot, strike, theft, war, or acts of God and/or nature.
EVALUATION
The Client and the Agency shall evaluate progress under this agreement at the beginning of every quarter and take corrective action as may be required.
MODIFICATION IN TERMS
Any changes in the terms and conditions contained herein shall have effect only prospectively, and shall be valid only if recorded in writing and signed by the authorized officials of the Client and the Agency.
WAIVER
The failure of either party at any time to enforce any provision of this Agreement, shall in no way affect its right thereafter to require complete performance by the other party. Further, waiver of any breach of any provision shall not be held to be a waiver for any subsequent breaches. Any waiver shall be valid only if it is recorded in writing and signed by the authorized officials of the Client and the Agency.
TERMINATION
Either party may terminate this agreement by giving 2 weeks written notice to the other, via email, without assigning any reason whatsoever. The obligations of the parties shall continue during the notice period.
ARBITRATION
Any dispute, difference or question arising out of this agreement shall be settled amicably between the parties, failing which the same shall be referred to arbitration under the Australian Law.
NOTICES
Any or all notice to be given by the parties here to each other under this agreement shall be in writing and shall be transmitted through the official emails. The Agency's email address is accounts@stroberri.com.au
