Website Annual Maintenance Contract
Terms & Conditions
1. Definitions
For the purposes of this Agreement, the following definitions apply:
- "Annual Maintenance Contract" or "AMC" means the 12-month rolling engagement described herein.
- "Website" means the Client's website(s) explicitly listed in the Service Order Form.
- "Editing Hours" means up to twenty (30) hours of website content editing and modification per Contract Year.
- "Bug / Glitch" means any unintended functional error, display issue, or broken feature on the Website that prevents normal intended use.
- "Blog Service" means the creation, writing, sourcing of images, and publishing of blog content on the Client's Website.
- "Contract Year" means a 12-month period commencing on the Start Date stated in the Service Order Form.
- "Business Day" means Monday to Friday, 9:00 am – 5:30 pm AEST, excluding Australian public holidays.
2. Scope of Services
The Website Annual Maintenance Contract includes the following services for the duration of each Contract Year:
2.1 Website Editing
Stroberri Business Solutions will perform website edits as reasonably requested by the Client, up to a cumulative maximum of 30 hours per Contract Year. Eligible editing tasks include, but are not limited to:
- Updating existing text, images, and media content
- Modifying page layouts, navigation menus, and site structure
- Adding new pages, sections, or content blocks as requested
- Updating contact details, business information, and pricing
- Integration updates to existing plugins, widgets, or third-party tools
- Minor design adjustments (colour, fonts, spacing) consistent with the existing brand
Unused editing hours do not accumulate or roll over to the following Contract Year.
2.2 Bug Fixes & Development Error Rectification
Stroberri Business Solutions will identify and rectify bugs, glitches, display errors, and development faults on the Client's Website on an ongoing basis at no additional cost to the Client, including:
- Broken links, missing images, and 404 error pages
- Functionality failures in forms, checkout, booking systems, or interactive elements
- Plugin or theme conflicts causing visual or functional disruption
- Cross-browser and cross-device rendering issues
- Security vulnerability patches for the core CMS, themes, and approved plugins
- Database errors and server configuration issues within our control
Bug fix response times are set out in Section 5 (Service Levels). Issues arising from third-party hosting infrastructure beyond our control will be escalated on the Client's behalf.
2.3 Blog Writing & Publishing Service
As part of this Contract, Stroberri Business Solutions will provide a complete blog management service at no additional cost, encompassing:
- Professional copywriting of blog articles based on topics agreed with the Client
- Research and sourcing of all images required to accompany each blog post (licensed stock images or original photography supplied by the Client)
- On-page SEO optimisation including meta titles, descriptions, headings, and keyword integration
- Publishing and scheduling of blog posts directly on the Client's Website
- Formatting, internal linking, and category/tag assignment
The volume and frequency of blog posts to be produced each month will be confirmed in the Service Order Form or by mutual written agreement at the commencement of the Contract Year.
3. Services Not Included
The following are expressly excluded from this Contract and will be quoted separately if required:
- Full website redesigns or platform migrations
- Development of new custom features, plugins, or bespoke functionality
- e-commerce store setup, product bulk uploads, or fulfilment integrations
- Domain registration, renewal, or DNS management (unless specified in the Service Order Form)
- Web hosting fees or third-party subscription costs
- Paid advertising, social media management, or digital marketing campaigns
- Landing pages for SEO, Meta & Google campaigns
- Graphic design of logos, brand assets, or print materials
- Video production, animation, or podcast editing
- Work requested more than the 30 hour annual editing allowance
4. Client Responsibilities
To enable Stroberri Business Solutions to deliver services effectively, the Client agrees to:
- Provide timely, accurate, and complete instructions for all editing and content requests.
- Supply all required brand assets, copy drafts, photos, or reference materials within five (5) Business Days of being requested.
- Designate a primary point of contact with authority to approve deliverables on behalf of the organisation.
- Maintain active and accessible website hosting, domain registration, and CMS credentials throughout the Contract Year.
- Provide administrative access to the Website's CMS, FTP/cPanel, and any relevant third-party platforms.
- Review and provide written approval or revision feedback within five (5) Business Days of receiving a deliverable.
- Promptly notify Stroberri Business Solutions of any third-party changes made to the Website that may affect the scope of maintenance.

Response times are measured from the time a request or report is received during Business Hours. Stroberri Business Solutions will communicate promptly if circumstances prevent meeting the targets above.
6. Fees, Payment & Renewal
6.1 Annual Contract Fee
The total fee for the Website Annual Maintenance Contract is as stated in the Service Order Form and is due and payable in accordance with the payment schedule agreed therein (annually in advance or as monthly instalments).
6.2 Invoicing
Invoices will be issued electronically. All fees are quoted in Australian Dollars (AUD) and are inclusive of GST where applicable.
6.3 Late Payment
Invoices are due within fourteen (14) days of the invoice date. Stroberri Business Solutions reserves the right to suspend services if payment is not received within thirty (30) days of the due date, without prejudice to any other remedy available.
6.4 Additional Work
Any work outside the scope of this Contract (including editing hours in excess of the 20-hour allowance) will be quoted and invoiced separately at our current hourly rate, with written Client approval required before work commences.
6.5 Renewal
This Contract will automatically renew for successive 12-month periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiry of the then-current Contract Year. Pricing for renewal periods may be adjusted with thirty (30) days' prior written notice.
7. Term & Termination
7.1 Term
This Contract commences on the Start Date stated in the Service Order Form and continues for one (1) Contract Year, subject to renewal as described in Section 6.5.
7.2 Termination for Convenience
Either party may terminate this Contract by providing sixty (60) days' written notice to the other party. In the event of early termination by the Client, fees paid in advance are non-refundable except for any unused full months of the remaining Contract Year, less a reasonable administration fee of fifteen percent (15%).
7.3 Termination for Cause
Either party may terminate this Contract immediately upon written notice if the other party:
- Materially breaches any provision of this Agreement and fails to remedy that breach within fourteen (14) days of receiving written notice;
- Becomes insolvent, enters administration, or ceases to carry on business; or
- Engages in fraudulent, unlawful, or grossly negligent conduct.
7.4 Effect of Termination
Upon termination, Stroberri Business Solutions will cease all services and, where applicable, provide the Client with access to all completed deliverables. Outstanding invoices remain payable in full.
8. Intellectual Property
Upon receipt of full payment for the Contract Year in which they were created, all original content produced by Stroberri Business Solutions under this Contract — including but not limited to blog articles, website copy, and image selections — shall be assigned to the Client. Any third-party licensed stock images remain subject to the terms of the relevant stock library licence.
Stroberri Business Solutions retains the right to reference the Client's website and content produced under this Contract in its portfolio and promotional materials, unless the Client requests confidentiality in writing.
9. Confidentiality
Each party agrees to keep confidential all non-public information of the other party disclosed in connection with this Contract, and not to disclose such information to any third party without prior written consent, except as required by law. This obligation survives termination of this Contract for a period of three (3) years.
10. Data Protection & Privacy
Both parties agree to comply with all applicable Australian privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Stroberri Business Solutions will handle any personal data accessed in the performance of this Contract solely for that purpose and will not sell, share, or exploit such data for any other purpose.
11. Warranties & Representations
Stroberri Business Solutions warrants that:
- Services will be performed with reasonable care, skill, and diligence;
- All blog content will be original, free from plagiarism, and to the best of our knowledge will not infringe any third-party intellectual property rights;
- Any stock images used in blog posts will be licensed for commercial use.
The Client warrants that:
- It has the legal authority to enter into this Agreement;
- All instructions, materials, and content supplied to us do not infringe any third-party rights; and
- Website hosting and domain registrations will remain active for the duration of the Contract.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Stroberri Business Solutions' aggregate liability to the Client under or in connection with this Contract shall not exceed the total fees paid by the Client in the Contract Year in which the claim arose;
- Neither party shall be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of revenue, loss of business, or loss of data, even if advised of the possibility of such damages;
- Stroberri Business Solutions shall not be liable for website downtime, data loss, or security breaches attributable to the Client's hosting provider or any third party.
Nothing in this Agreement limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.
13. Force Majeure
Neither party will be in breach of this Agreement to the extent that it is unable to perform its obligations due to circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, government restrictions, cyberattacks on critical infrastructure, or major internet outages. The affected party must notify the other party promptly and use reasonable efforts to mitigate the impact.
14. Dispute Resolution
If a dispute arises out of or concerning this Agreement, the parties agree to:
- First attempt to resolve the dispute informally through good-faith negotiation within fourteen (14) days of written notice from either party.
- If unresolved, refer the matter to a mutually agreed mediator within a further twenty-one (21) days.
- If mediation fails, either party may pursue remedies available through the courts of Queensland, Australia.
15. General Provisions
15.1 Governing Law
This Agreement is governed by the laws of Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland.
15.2 Entire Agreement
This Agreement, together with the Service Order Form, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, or agreements.
15.3 Amendments
No amendment to this Agreement is effective unless made in writing and signed by authorised representatives of both parties.
15.4 Waiver
A failure or delay by either party to exercise any right or remedy under this Agreement does not constitute a waiver of that right or remedy.
15.5 Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.6 Notices
All formal notices under this Agreement must be in writing and delivered by email with read receipt or by registered post to the addresses stated in the Service Order Form.
15.7 Assignment
The Client may not assign or transfer any rights or obligations under this Agreement without prior written consent from Stroberri Business Solutions. We may assign this Agreement to a related body corporate without consent.

16. Acceptance
By engaging Stroberri Business Solutions for website services, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions.
